• Counseled businesses in Securities Exchange Commission, NYSE and NASDAQ reporting compliance including 10-K, 10-Q, and 8-K.
• Counseled businesses in preparation of Proxy Statements
• Represented companies with filing various pre-merger notifications with the Federal Trade Commission and Department of Justice under Hart Scott Rodino.
• Represented companies in asset purchases, asset dispositions, stock purchases and stock dispositions.
• Assisted in large stock disposition of closely held corporation.
• Assisted in a significant stock acquisition of privately held company with foreign operations.
• Assisted bond counsel in Economic Development Revenue Bonds for financing the construction and equipping of local manufacturing facilities.
• Counseled businesses in entity formations (for-profit and non-profit corporations, limited liability companies and partnerships) and certifications such as Minority in Business Enterprise (MBE), Women in Business Enterprise (WBE), and tax exempt status under §501(c)(3) of the Internal Revenue Code.
• Assisted with exempt private equity and debt placements under Regulation D.
