Transactional Corporate Attorney
Location: Fort Wayne, Indiana (On-Site)
Licensure: Must be licensed to practice law in Indiana and in good standing

Position Overview
We are seeking an experienced Corporate Transactional and Mergers & Acquisitions Attorney to join our practice in Fort Wayne, Indiana. This attorney will advise clients on a broad range of business and corporate matters, including mergers and acquisitions, entity formation and governance, contract negotiation, business succession planning, and general corporate counseling.
The ideal candidate will possess strong business acumen, exceptional legal writing and communication skills, and the ability to manage complex transactions in a fast-paced environment. Candidates may bring an existing book of business, but a portable client base is not required. Partnership-track opportunities are available for qualified candidates who demonstrate a commitment to client service, leadership, and practice development.
Responsibilities
- Represent businesses, owners, and other stakeholders in mergers, acquisitions, divestitures, and other business transactions.
- Draft, review, and negotiate purchase agreements, operating agreements, shareholder agreements, and other commercial contracts.
- Conduct and manage legal due diligence and transaction closings.
- Provide ongoing counsel regarding corporate governance, organizational structure, and succession planning.
- Advise clients on day-to-day business matters .
- Collaborate with attorneys across multiple practice areas to deliver comprehensive legal solutions.
- Develop and maintain strong client relationships through responsive and practical legal counsel.
- Participate in business development and networking activities to support the growth of the firm.
Qualifications
- Juris Doctor (J.D.) from an accredited law school.
- Active license to practice law in Indiana.
- Minimum of five (5) years of experience in corporate transactions and mergers and acquisitions.
- Demonstrated experience managing sophisticated business transactions from inception through closing.
- Outstanding legal research, analytical, and problem-solving abilities.
- Superior writing, drafting, and contract negotiation skills.
- Excellent verbal and interpersonal communication skills.
- Ability to work effectively under pressure, manage multiple priorities, and meet challenging deadlines.
- Strong attention to detail and commitment to delivering exceptional client service.
- Existing book of business is welcomed but not required.
